BETA / EARLY ACCESS NOTICE: Storeducks Inc. is offering its Services as a Beta or Evaluation version. The Services are still in development, may contain bugs, and are subject to frequent updates. Access is currently limited to request-only participants. By participating in this Beta, you acknowledge that the Services are provided “AS-IS” and “AS-AVAILABLE” without warranties of any kind.
THIRD-PARTY PLATFORM NOTICE (Etsy API Required Statement): “The term 'Etsy' is a trademark of Etsy, Inc. This Application uses Etsy's API but is not endorsed or certified by Etsy.” Etsy, Inc. and its affiliates are not the application developer, do not provide this service, and make no warranties of any kind with respect to this Application or data accessed through it.
By requesting access to, creating an account for, or using the Storeducks platform and tools (the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Services. You must be at least 18 years of age and legally authorized to enter into binding contracts on behalf of yourself or the entity you represent.
Storeducks provides workflow tools for online sellers to save time managing their marketplace presence. The primary feature is Etsy listing and inventory management through reusable templates and streamlined updates. The platform may also include supplementary tools for social media content where available. Support for additional marketplaces may be introduced in the future based on user demand.
You acknowledge that the software may experience downtime, lose data, or contain errors that could affect your marketplace listings. Storeducks is not responsible for any such interruptions.
We reserve the right, in our sole discretion, to revoke or suspend your request-only access at any time, for any reason, without prior notice or liability.
During the Beta phase, Storeducks offers no guarantees regarding uptime, performance levels, or technical support response times.
Storeducks reserves the right to conclude the Beta program at any time. We will provide at least 14 days' advance written notice via email or in-app notification before shutting down the Beta, except where circumstances make such notice impracticable.
By using the Services, you represent that:
You are at least 18 years old;
You have the legal authority to bind yourself or your business entity to these Terms;
You are not a resident of a jurisdiction subject to U.S. trade sanctions or embargoes; and
Your use of the Services does not violate any applicable laws or regulations.
You are solely responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately at getintouch@storeducks.com of any unauthorized use of your account.
The term “Etsy” is a trademark of Etsy, Inc. This Application uses the Etsy API but is not endorsed or certified by Etsy, Inc. Your use of Storeducks in connection with the Etsy API must comply at all times with Etsy's API Terms of Use. Etsy reserves the right to review and audit applications built on its API and may require modifications to ensure compliance. You must not imply that this Application is endorsed or affiliated with Etsy. If you discontinue use of the Services, you agree to cooperate with any applicable withdrawal notice obligations under Etsy's API Terms, including providing at least 30 days' advance notice to Etsy and affected sellers as required.
“TikTok” and related marks are trademarks of TikTok Ltd. or its affiliates. This Application may integrate with TikTok platform APIs but is not affiliated with, endorsed by, or sponsored by TikTok Ltd. You agree to comply with TikTok's Developer Terms of Service and Developer Guidelines. You must not imply any affiliation, sponsorship, or endorsement of this Application by TikTok, or remove, obscure, or alter any TikTok trademark or proprietary notices. You acknowledge that TikTok may review, audit, or revoke API access at any time for non-compliance. All commercial content disclosure requirements imposed by TikTok must be honored for any content managed through Storeducks.
“Instagram” and “Meta” are trademarks of Meta Platforms, Inc. This Application may integrate with Meta's Instagram Graph API but is not affiliated with, endorsed by, or sponsored by Meta Platforms, Inc. Use of Meta APIs is subject to Meta's Platform Terms and Developer Policies. You acknowledge that Meta periodically updates, restricts, or deprecates API endpoints — including the deprecation of the Instagram Basic Display API in December 2024 — and that Storeducks shall have no liability for service changes resulting from Meta's platform decisions. Only Business or Creator Instagram accounts are supported via the Instagram Graph API; personal account integrations are not available.
Your use of Storeducks must comply at all times with the Terms of Service and API policies of all platforms you connect to, including but not limited to Etsy, TikTok, and Instagram/Meta. Any violation of those third-party terms constitutes a material breach of these Terms.
You are solely responsible for the security of your marketplace credentials and API tokens. Storeducks shall not be liable for any unauthorized access to your marketplace accounts resulting from your failure to secure your login information. You acknowledge that third-party platforms may independently modify, suspend, or revoke API access at any time, and Storeducks shall not be liable for resulting service interruptions.
You retain all intellectual property rights to the product listings, descriptions, images, and data you upload or manage through the Services (“User Content”).
You grant Storeducks a non-exclusive, worldwide, royalty-free license to host, transmit, display, and modify your User Content solely to provide the Services (e.g., executing bulk edits or syncing data to Etsy).
Storeducks may use anonymized, aggregated data derived from your use of the Services to improve our algorithms, internal analytics, and AI models. This data will not identify you or your specific customers individually. For more detail, please see our Privacy Policy.
Storeducks respects intellectual property rights. If you believe any User Content infringes your copyright, please send a written notice to getintouch@storeducks.com including: (a) identification of the copyrighted work; (b) identification of the infringing material and its location; (c) your contact information; (d) a statement of good faith belief; and (e) a statement of accuracy under penalty of perjury. We will respond to valid DMCA takedown notices in accordance with applicable law.
You agree not to use the Services to directly replicate the core features of Storeducks or to build a competing product that substantially reproduces our proprietary functionality.
You agree not to:
Scrape, crawl, or spider any part of the Storeducks platform;
Use the Services to list prohibited, illegal, or counterfeit items on any marketplace;
Reverse engineer or attempt to extract the source code of the Services;
Circumvent any access controls, rate limits, or security measures;
Upload or transmit malicious code, viruses, or any software designed to harm or disrupt;
Violate any applicable local, state, national, or international law or regulation;
Share your beta access codes or account with unauthorized third parties;
Misrepresent Storeducks as being part of, affiliated with, or endorsed by Etsy, TikTok, Meta, or any other third-party platform; or
Circumvent or abuse third-party platform API rate limits through Storeducks.
Access to the Beta is provided at our discretion. While many features are currently free or accessible via promotional/access codes, Storeducks reserves the right to charge for specific premium features or usage tiers on a case-by-case basis.
Access codes provided during the Beta period have no cash value and may be expired or revoked by Storeducks at any time without liability.
We reserve the right to introduce a standard subscription or usage-based pricing model. We will provide at least 30 days' notice via email or in-app notification before transitioning any currently free Beta features to a paid model.
Storeducks is a tool for management and automation. We are not liable for any actions taken by third-party platforms (e.g., Etsy, TikTok, Meta) against your account, including but not limited to listing removals, shadow-banning, API deprecation, or account suspensions.
THE SERVICES ARE PROVIDED “AS-IS” AND “AS-AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. STOREDUCKS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STOREDUCKS INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO STOREDUCKS IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS (USD $100.00). THIS LIMITATION APPLIES REGARDLESS OF THE FORM OF ACTION AND WHETHER OR NOT STOREDUCKS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Some jurisdictions (including California) do not allow the exclusion of certain warranties or limitation of certain damages. To the extent such laws apply, the above limitations may not apply to you, and your rights may vary accordingly.
You agree to indemnify, defend, and hold harmless Storeducks Inc., its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
Your use of or access to the Services;
Your violation of these Terms;
Your violation of any third-party rights, including intellectual property or privacy rights;
Your violation of any third-party platform terms (e.g., Etsy, TikTok, Meta); or
Any User Content you submit, post, or transmit through the Services.
We welcome your suggestions and bug reports. By providing feedback, you agree that Storeducks Inc. shall own all rights, title, and interest in such feedback and may use it to improve the Services without any obligation to compensate or credit you.
You may stop using the Services at any time and request deletion of your account by contacting getintouch@storeducks.com.
We may terminate or suspend your access at any time, with or without cause, with or without notice. Upon termination, your right to use the Services ceases immediately.
Upon termination or expiration of your account, Storeducks will retain your data only as required by law or for legitimate business purposes. You may request deletion of your personal data in accordance with our Privacy Policy. Storeducks is not liable for any loss of data upon account termination.
We reserve the right to modify these Terms at any time. We will provide notice of material changes via email or prominent in-app notification at least 14 days before the changes take effect. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Services.
Before initiating any formal proceeding, you agree to contact Storeducks at getintouch@storeducks.com and attempt to resolve the dispute informally for at least 30 days.
If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. The arbitration shall be conducted in English, and the seat of arbitration shall be Wilmington, Delaware.
YOU AND STOREDUCKS EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING. ALL DISPUTES MUST BE BROUGHT SOLELY IN YOUR INDIVIDUAL CAPACITY.
California Residents: California's Private Attorneys General Act (PAGA) permits employees to bring representative actions for Labor Code violations. To the extent permitted by applicable law following Viking River Cruises, Inc. v. Moriana, 596 U.S. 639 (2022) and subsequent California authority, individual PAGA claims are subject to arbitration; however, representative PAGA claims on behalf of others may not be fully waivable. Nothing in this Section limits any right you may have under the California Consumers Legal Remedies Act (CLRA) to the extent such rights may not be waived by contract.
Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property rights or confidential information.
You agree to comply with all applicable U.S. and international export control laws and regulations. You represent that you are not located in, or a national or resident of, any country subject to U.S. trade sanctions or embargoes, and that you are not on any U.S. government denied-party list.
Storeducks shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, internet or telecommunications failures, or third-party platform outages (including Etsy, TikTok, or Meta API disruptions).
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles. Subject to the arbitration clause above, any disputes not subject to arbitration shall be resolved in the Court of Chancery of the State of Delaware or, if federal jurisdiction applies, the U.S. District Court for the District of Delaware. You consent to personal jurisdiction in these courts. California residents retain any rights to litigate in California courts that cannot be waived as a matter of California law, including under the CLRA and PAGA.
If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions shall continue in full force and effect.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Storeducks regarding the Services and supersede all prior agreements, representations, and understandings.
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Storeducks may assign these Terms in connection with a merger, acquisition, or sale of assets without your consent.
Your use of the Services is also governed by our Privacy Policy, which is incorporated herein by reference and available at: https://www.storeducks.com/privacy.
CCPA/CPRA Notice: If you are a California resident, please review the California-specific disclosures in the Privacy Policy, including your rights to know, delete, correct, and opt out of the sale or sharing of personal information.
