Effective Date: October 5, 2026 Last Updated: October 5, 2026 Version: v1
These Seller Terms (these "Terms") govern your participation as a seller on the website located at www.storeducks.com and any related features, content, communications, and services (collectively, the "Service") provided by Storeducks Inc., a Delaware corporation with its principal place of business in San Jose, California ("Storeducks," "we," "us," or "our"). By using the Service as a Seller, you ("Seller," "you," or "your") agree to these Terms.
1.1 Acceptance. By clicking "I Agree," registering for a Seller account, or otherwise accessing the Service as a Seller, you represent that you have read, understood, and agree to be bound by these Terms, the Storeducks Terms of Use, and the Storeducks Privacy Policy, each of which is incorporated by reference.
1.2 Eligibility. To be a Seller, you must:
(a) be at least eighteen (18) years of age and able to form a legally binding contract; (b) be a resident of, or a business entity formed in, the United States; (c) authenticate to the Service using a login method supported by Storeducks; (d) provide accurate and complete information during registration and keep that information current; and (e) not be barred from receiving the Service under applicable law.
1.3 Business or Individual. You may participate as an individual or on behalf of a business. If you accept these Terms on behalf of a business entity, you represent that you are authorized to bind that entity, and "Seller," "you," and "your" refer to that entity.
1.4 Account Security. Seller is responsible for maintaining the security of the account or login method Seller uses to access the Service and for all activity that occurs under Seller's Seller account. Seller shall notify Storeducks promptly at getintouch@storeducks.com if Seller becomes aware of any unauthorized access to or use of its account.
2.1 Listing and Discovery. The Service allows approved Sellers to have their handmade products featured on www.storeducks.com. Only handmade products that meet Section 5.6 are eligible; food, beverages, and any other product excluded under Section 5.6 are not. Storeducks reviews and curates each product submitted by Sellers. Approved listings include product images, descriptions, and a link directing visitors to the Seller's own external website or sales channel.
2.2 No Transactions on the Service. Storeducks does not process payments, fulfill orders, handle returns, or otherwise facilitate transactions between Sellers and end customers on the Service. All purchases occur on the Seller's own website or designated external sales channel, and the resulting contract for sale is solely between the Seller and the customer.
2.3 No Endorsement. Inclusion of a Seller's products on the Service does not constitute an endorsement, certification, or guarantee by Storeducks of the Seller, the Seller's products, or any claims the Seller makes about its products.
2.4 Outbound Links. Seller shall provide, and keep current, a working link for each listed product that directs visitors to a page where that product is offered for sale. Storeducks may add analytics or referral parameters to outbound links, route outbound links through redirects to measure traffic, and disable or remove any link that is broken, directs visitors to a page other than the listed product, or that Storeducks believes is unsafe or misleading.
2.5 Seller's Sales Channels. Seller is solely responsible for its own websites and external sales channels, including their content, security, checkout, pricing, taxes, shipping, returns, refunds, warranties, customer service, privacy disclosures, and compliance with all laws applicable to Seller's sales. Storeducks does not control and is not responsible for any website or sales channel operated by Seller or any third party.
3.1 Submission. To list products, Seller must register a Seller account and submit product information for review.
3.2 Approval at Our Discretion. All Sellers and all product listings are subject to review and approval by Storeducks in its sole discretion. Storeducks may approve, reject, or request modifications to any application or listing for any lawful reason or no reason at all. Payment of Fees does not guarantee that any Seller or product will be approved, listed, or featured; refunds are governed by Section 15.4.
4.1 Content License. Seller hereby grants Storeducks a worldwide, non-exclusive, royalty-free, fully paid-up license to host, store, reproduce, display, perform, distribute, adapt, modify (including for formatting, resizing, cropping, and editing or summarizing product descriptions consistent with Section 4.4), and otherwise use the product images, product descriptions, trademarks, logos, names, and other materials that Seller (a) submits to Storeducks, (b) uploads through any tool made available on the Service, or (c) authorizes Storeducks to obtain from Seller's Designated Channels under Section 4.2 (collectively, "Seller Content"), for the purpose of operating, promoting, and improving the Service, including marketing the Service and Seller's listings on the Service and on Storeducks's accounts on third-party social media and other online platforms. This license is sublicensable solely (i) to Storeducks's service providers acting on its behalf and (ii) to operators of third-party platforms on which Storeducks posts Seller Content, to the extent required by such platforms' terms for the display and distribution of that content on those platforms.
4.2 Content from Seller's Designated Channels. Seller authorizes Storeducks to access, copy, and reproduce product images, descriptions, and related materials from websites, online storefronts, and social media accounts that Seller identifies to Storeducks or links to from its listings ("Designated Channels"). Seller shall notify Storeducks in writing of any content on its Designated Channels that Seller does not have the right to license to Storeducks (for example, images licensed to Seller by a third-party photographer solely for Seller's own use), and Storeducks will not copy such content after receiving that notice. Content Storeducks obtains from Designated Channels is Seller Content for all purposes of these Terms.
4.3 Storeducks-Created Content. Photographs, videos, graphics, descriptions, and other content created by or for Storeducks, including photographs of Seller's products taken by Storeducks ("Storeducks Content"), are owned by Storeducks, subject to Seller's underlying rights in its products, trademarks, designs, and other Seller Content depicted or incorporated in them. Seller grants Storeducks the right to photograph, film, and depict Seller's products, packaging, and trademarks for the purposes described in Section 4.1.
4.4 Listing Review. Storeducks may write, edit, or summarize product descriptions and other listing content. Seller is responsible for reviewing its listings and shall promptly notify Storeducks of any inaccuracy, and Storeducks will make reasonable efforts to correct any inaccuracy it introduced within a reasonable time after notice.
4.5 Duration. The license granted in Section 4.1 continues for as long as the Seller Content is displayed on the Service, plus a reasonable period thereafter to allow Storeducks to remove the content from caches and backup systems. Following termination of these Terms or Seller's written request to remove specific Seller Content, Storeducks (a) will remove that Seller Content from the Service within a reasonable period; (b) will use commercially reasonable efforts to remove that Seller Content from posts on social media accounts controlled by Storeducks within sixty (60) days after Seller's written request; and (c) is not required to recall or alter marketing or promotional materials distributed, printed, or shared by third parties before the removal date. Storeducks may retain copies of Seller Content as required by law or for legitimate record-keeping and dispute-resolution purposes.
4.6 Promotional Use. Seller agrees that Storeducks may use Seller's name, logo, product images, and social media handles in marketing and promotional materials referring to the Service, including by tagging or mentioning Seller's accounts on third-party platforms.
4.7 No Other Rights; Moral Rights. Except for the license expressly granted in this Section 4, Seller retains all right, title, and interest in and to the Seller Content. To the extent permitted by applicable law, Seller waives, and agrees not to assert against Storeducks or its sublicensees, any moral rights or similar rights in the Seller Content with respect to uses permitted by these Terms.
5.1 Ownership or License. Seller owns, or has obtained all rights, licenses, consents, permissions, releases, and authorizations necessary, in and to all Seller Content (including Seller Content uploaded through tools on the Service or obtained from Seller's Designated Channels) — including without limitation all product images, photographs, illustrations, product descriptions, text, copy, trademarks, service marks, trade names, logos, designs, copyrights, and any depictions of persons, places, or property contained therein — to grant the license set forth in Section 4 and to permit Storeducks's use of the Seller Content as contemplated by these Terms.
5.2 No Infringement. Neither the Seller Content, the Seller's products, nor Storeducks's use of the Seller Content as contemplated by these Terms infringes, misappropriates, or otherwise violates any patent, copyright, trademark, trade secret, right of publicity, right of privacy, moral right, or any other intellectual property or proprietary right of any third party. This Section 5.2 does not apply to Storeducks Content or to modifications made by Storeducks to Seller Content, except to the extent Seller's products, designs, trademarks, or other Seller-supplied elements depicted in or incorporated into them are themselves infringing.
5.3 Authority. Seller has the full right, power, and authority to enter into and perform under these Terms, and Seller's execution and performance of these Terms do not and will not violate any agreement, judgment, order, or law applicable to Seller.
5.4 Accuracy of Product Information. All product descriptions, claims, pricing, availability information, and other product details Seller provides are and will remain accurate, complete, and not misleading.
5.5 Compliance with Laws. The Seller Content, the Seller's products, and the Seller's business comply with all applicable federal, state, and local laws, rules, and regulations, including without limitation consumer protection, product safety, advertising, labeling, and intellectual property laws, and Seller holds all permits, licenses, and registrations required to make and sell its products.
5.6 Handmade Products Only. Seller warrants that every product it lists on the Service is handmade, meaning it is made or substantially finished by hand by Seller or Seller's named artisans (using tools and equipment is permitted), and that each product is accurately described as to its origin and method of production. Seller shall not list (a) products that are mass-manufactured, dropshipped, resold, or otherwise falsely represented as handmade; or (b) food, beverages, dietary supplements, or any other product intended to be eaten, drunk, or otherwise ingested by people or animals (including tobacco, nicotine, cannabis, and CBD products), whether or not homemade. Storeducks decides in its discretion whether a product qualifies under this Section.
6.1 Indemnification. Seller shall defend, indemnify, and hold harmless Storeducks and its parents, subsidiaries, affiliates, officers, directors, employees, agents, licensors, successors, and assigns (collectively, the "Storeducks Indemnified Parties") from and against any and all third-party claims, demands, actions, proceedings, suits, losses, liabilities, damages, judgments, settlements, fines, penalties, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to:
(a) any breach or alleged breach of any representation, warranty, covenant, or obligation of Seller under these Terms; (b) the Seller Content, including any claim that the Seller Content infringes, misappropriates, or violates any third party's intellectual property, publicity, privacy, or other rights; (c) the Seller's products, including without limitation product liability, defect, recall, warranty, or product safety claims; (d) any transaction, sale, return, refund, dispute, or other interaction between Seller and any customer or prospective customer; (e) any violation by Seller of any law, rule, or regulation, including consumer protection, tax, advertising, labeling, and product safety laws; (f) any tax obligation arising from Seller's sales or business activities; and (g) any willful misconduct, negligence, or fraud by Seller.
Seller's obligations under this Section 6.1 do not apply to the extent a claim arises from (i) Storeducks Content, except to the extent the claim concerns Seller's products, designs, trademarks, or other Seller-supplied elements depicted in it, or (ii) modifications to Seller Content made by Storeducks without Seller's approval.
6.2 Procedure. Storeducks will (i) promptly notify Seller in writing of any claim for which it seeks indemnification (provided that failure to provide prompt notice will not relieve Seller of its indemnification obligations except to the extent Seller is materially prejudiced by the delay); (ii) provide Seller with reasonable cooperation in the defense of the claim at Seller's expense; and (iii) allow Seller to control the defense and settlement of the claim, except that Seller may not settle any claim in a manner that imposes any obligation, liability, admission of wrongdoing, or restriction on a Storeducks Indemnified Party without Storeducks's prior written consent. Storeducks reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by Seller, in which case Seller shall cooperate with Storeducks's defense.
7.1 Sole Discretion. Storeducks reserves the right, at any time and in its sole and absolute discretion, with or without notice and with or without cause, to:
(a) reject, decline, or refuse to list any product, listing, image, description, or other Seller Content; (b) remove, delist, hide, suspend, or modify any product, listing, image, description, or other Seller Content; (c) suspend or terminate any Seller's account; and (d) refuse to provide the Service to any person or entity.
7.2 No Liability for Removal. Seller acknowledges and agrees that Storeducks is a curated platform and that Storeducks has no obligation to list, continue listing, or maintain the visibility of any Seller Content. To the fullest extent permitted by law, and except for any refund owed under Section 15.4, Storeducks shall have no liability to Seller or to any third party for any action taken under this Section 7, including without limitation any lost sales, lost profits, lost goodwill, or other consequential damages.
7.3 Examples of Grounds (Non-Exhaustive). Without limiting Section 7.1, Storeducks may exercise its rights under this Section 7 if it believes, in its discretion, that (a) the Seller Content or product violates any law or these Terms; (b) the Seller Content or product infringes a third party's rights; (c) the Seller Content or product is unsafe, misleading, low-quality, or inconsistent with the Service's curatorial standards; (d) the Seller has made misrepresentations to Storeducks; or (e) listing the Seller or its products presents reputational or legal risk to Storeducks.
7.4 Repeat Infringers. Storeducks will, in appropriate circumstances, terminate the accounts of Sellers who are repeat infringers of the intellectual property rights of others, as further described in the Storeducks Terms of Use.
8.1 Non-Exclusive. These Terms are non-exclusive. Nothing in these Terms restricts Seller from selling its products through any other channel, marketplace, retailer, or directly to customers. Nothing in these Terms restricts Storeducks from working with any other seller, including sellers offering products competitive with Seller's products.
8.2 Independent Parties. Seller and Storeducks are independent contractors. Nothing in these Terms creates any partnership, joint venture, franchise, employment, agency, or fiduciary relationship between the parties. Neither party may bind the other or make any representation or commitment on the other's behalf, and Seller shall not represent otherwise to any third party. Without limiting Section 6, each party is solely responsible for its own acts, omissions, products, business operations, taxes, and legal compliance.
Seller agrees that it will not, and will not permit any third party acting on Seller's behalf to:
(a) submit any Seller Content or list any product that is unlawful, fraudulent, deceptive, defamatory, obscene, hateful, threatening, infringing, or otherwise objectionable; (b) impersonate any person or misrepresent its identity, affiliation, or the origin of any product; (c) sell or offer for sale any product whose sale is prohibited or restricted by law in the United States, including without limitation counterfeit goods, recalled products, hazardous materials prohibited from sale, or items subject to applicable regulatory restrictions Seller has not satisfied; (d) interfere with, disrupt, or attempt to gain unauthorized access to the Service or any Storeducks system; (e) use the Service to send unsolicited communications, spam, or malware; (f) scrape, harvest, or otherwise extract data from the Service except as permitted by Storeducks in writing; (g) use Storeducks's name, logo, or trademarks in any manner that states or implies sponsorship, endorsement, or certification by Storeducks, other than accurately stating that Seller's products are featured on the Service; (h) submit any product that is not handmade, or any food, beverage, or other product excluded under Section 5.6; or (i) use the Service in any manner that violates these Terms or applicable law.
To the extent Storeducks shares non-public information with Seller in connection with the Service (for example, internal curation guidelines, unreleased features, or other information designated as confidential), Seller shall (a) use such information solely to perform under these Terms, (b) protect it using at least the same degree of care it uses for its own confidential information of similar importance (and in no event less than reasonable care), and (c) not disclose it to any third party without Storeducks's prior written consent. This Section 10 does not apply to information that is or becomes publicly available through no fault of Seller, was lawfully known to Seller without confidentiality obligations before disclosure, or is independently developed by Seller without use of Storeducks's confidential information.
11.1 Term. These Terms begin when Seller accepts them and continue until terminated under this Section 11.
11.2 Termination for Convenience. Either party may terminate these Terms at any time, for any reason or no reason, by providing written notice to the other party. Seller may provide notice by email to getintouch@storeducks.com or by closing its account through the Service, if that feature is available. Storeducks may provide notice via email to the address on file or via in-Service notice, and may make termination effective immediately.
11.3 Termination for Cause. Storeducks may suspend or terminate these Terms and Seller's account immediately, without notice, if Seller breaches these Terms, engages in fraudulent or unlawful conduct, or in Storeducks's reasonable judgment poses a risk to Storeducks, other Sellers, customers, or the public.
11.4 Effect of Termination. Upon termination, (a) Seller's right to use the Service ends; (b) Storeducks will remove Seller's listings from public display within a reasonable period, as further described in Section 4.5; and (c) the following provisions survive termination: Sections 4 (to the extent provided in Section 4.5), 5, 6, 7.2, 8, 10, 11.4, 12, 13, 14, 15, 16, and 17.
12.1 "AS IS." THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. STOREDUCKS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT IT WILL RESULT IN ANY PARTICULAR LEVEL OF EXPOSURE, TRAFFIC, INTEREST, OR SALES FOR SELLER.
12.2 Disclaimer. TO THE FULLEST EXTENT PERMITTED BY LAW, STOREDUCKS DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
12.3 Third-Party Platforms. STOREDUCKS IS NOT RESPONSIBLE FOR THE AVAILABILITY, CONTENT, POLICIES, OR PRACTICES OF ANY THIRD-PARTY WEBSITE OR PLATFORM, INCLUDING SOCIAL MEDIA PLATFORMS ON WHICH STOREDUCKS PROMOTES SELLER CONTENT AND SELLER'S OWN SALES CHANNELS, AND DOES NOT GUARANTEE THAT ANY PROMOTIONAL POST WILL REMAIN AVAILABLE OR REACH ANY PARTICULAR AUDIENCE.
13.1 Exclusion of Indirect Damages. TO THE FULLEST EXTENT PERMITTED BY LAW, STOREDUCKS WILL NOT BE LIABLE TO SELLER FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, OR DATA, WHETHER ARISING IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF STOREDUCKS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
13.2 Cap on Direct Damages. TO THE FULLEST EXTENT PERMITTED BY LAW, STOREDUCKS'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100.00) OR (B) THE FEES SELLER PAID TO STOREDUCKS IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE.
13.3 Basis of the Bargain. Seller acknowledges that the limitations in this Section 13 are a fundamental basis of the bargain between the parties.
13.4 Exceptions. NOTHING IN THESE TERMS LIMITS OR EXCLUDES LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW, INCLUDING LIABILITY FOR STOREDUCKS'S FRAUD, WILLFUL MISCONDUCT, OR VIOLATION OF LAW.
14.1 Service Changes. Storeducks may, at any time and without notice, modify, suspend, add to, or discontinue any feature, functionality, or aspect of the Service.
14.2 Changes to These Terms. Storeducks may update these Terms from time to time. Introductions of or changes to Fees are governed by Section 15.2. Storeducks will notify Seller of material changes by email to the address on file and/or by posting a notice on the Service. The updated Terms will become effective on the date specified in the notice, which will be no fewer than thirty (30) days after notice is provided (except for changes required by law or addressing security or fraud, which may take effect immediately). Seller's continued use of the Service after the effective date constitutes acceptance of the updated Terms. If Seller does not accept the updated Terms, Seller's sole remedy is to terminate under Section 11.2 before the effective date.
15.1 Fees. Storeducks may charge fees for use of the Service, such as listing or annual subscription fees ("Fees"). The current Fees, if any, and their billing terms are shown on the Service or set out in an invoice, order form, or other written communication provided to Seller before Seller agrees to pay them. Storeducks may bill Fees directly to Seller outside the Service.
15.2 Changes to Fees. Storeducks may introduce or change Fees by giving Seller at least thirty (30) days' notice under Section 17.5. New or changed Fees will apply only from Seller's next billing period after the notice period ends and will never be charged retroactively. Seller may avoid new or changed Fees by terminating under Section 11.2 before they take effect.
15.3 Renewal and Cancellation. If Fees are billed on a recurring basis, Storeducks will clearly disclose the amount, billing frequency, and how to cancel before Seller agrees. Seller may cancel renewal at any time, effective at the end of the current billing period. Fees do not include applicable taxes, which Seller is responsible for paying.
15.4 Refunds. Fees are non-refundable, except that Storeducks will refund the unused portion of any prepaid Fees if Storeducks (a) terminates these Terms without cause under Section 11.2, or (b) removes or suspends all of Seller's listings for the remainder of a prepaid billing period for reasons other than Seller's breach of these Terms or violation of law.
15.5 Sponsored Content. If Storeducks introduces paid placements, sponsored listings, or referral commissions, Storeducks will identify paid or sponsored content to visitors as required by applicable law.
16.1 Informal Resolution. Before filing any claim, each party agrees to attempt in good faith to resolve any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or the relationship between the parties (a "Dispute") informally for at least thirty (30) days. Seller must send a written notice of Dispute to getintouch@storeducks.com, describing the Dispute and the relief sought. Storeducks will send any notice of Dispute to the email address on file for Seller. All applicable statutes of limitation and filing deadlines are tolled during this informal resolution period.
16.2 Small Claims; Urgent Relief. Either party may bring an individual action in small claims court for any Dispute within that court's jurisdiction. If a small claims action is transferred or removed to a court other than a small claims court, Section 16.3 applies. Section 16.1 does not prevent either party from immediately seeking injunctive or other equitable relief to prevent actual or threatened infringement of intellectual property rights, breach of confidentiality obligations, or unauthorized access to the Service.
16.3 Governing Law and Venue. These Terms and any Dispute are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Except for actions in small claims court, the parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Santa Clara County, California.
17.1 Entire Agreement. These Terms, together with the Storeducks Terms of Use and Privacy Policy, constitute the entire agreement between the parties regarding their subject matter and supersede all prior or contemporaneous understandings.
17.2 Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be modified to the minimum extent necessary to make it enforceable while preserving the parties' intent.
17.3 No Waiver. No failure or delay by Storeducks to exercise any right under these Terms shall be a waiver of that right.
17.4 Assignment. Seller may not assign or transfer these Terms, by operation of law or otherwise, without Storeducks's prior written consent. Any attempted assignment in violation of this Section is void. Storeducks may assign these Terms freely, including to an affiliate or in connection with a merger, acquisition, or sale of assets.
17.5 Notices; Electronic Communications. All notices under these Terms must be given by email. Storeducks will send notices to the email address associated with Seller's account, or post them on the Service. Seller must send notices to getintouch@storeducks.com. A notice is effective when sent, unless the sender receives an automated message that it could not be delivered, in which case the sender must use reasonable efforts to deliver it by other means. Seller is responsible for keeping its account email address current. Seller consents to receive agreements, notices, and other communications from Storeducks electronically and agrees that such electronic communications satisfy any legal requirement that they be in writing.
17.6 Force Majeure. Storeducks shall not be liable for any failure or delay caused by events beyond its reasonable control, including acts of God, war, terrorism, civil unrest, labor disputes, internet or telecommunications failures, governmental actions, or pandemics.
17.7 Headings. Section headings are for convenience only and do not affect interpretation.
17.8 Relationship to Other Agreements. In the event of any conflict between these Terms and the Storeducks Terms of Use, these Terms control with respect to Seller's participation in the Service.
17.9 Feedback. If Seller provides Storeducks with suggestions, ideas, or other feedback about the Service, Storeducks may use that feedback for any purpose without obligation or compensation to Seller.
By clicking "I Agree" or otherwise accepting these Terms, Seller acknowledges that it has read, understood, and agrees to be bound by these Terms.
